Terms Of Service
These Terms explain the rules for using Click Counterly, the online click counter and digital tally counter at clickcounterly.com. Please read them carefully before using the service.
About These Terms
Click Counterly (“we,” “us,” or “our”) provides an online click counter and digital tally counter for counting and tracking everyday tasks. These Terms of Service govern your access to and use of the website at https://clickcounterly.com and the counting tool offered through it.
The service is operated by Click Counterly. You can reach the operator at support@clickcounterly.com.
These Terms work together with our Privacy Policy and any other policies linked from the service. If there is a conflict between these Terms and a specific plan or feature policy, the more specific policy applies to that plan or feature to the extent of the conflict.
You accept these Terms by using the service and, where offered, by clicking “I Agree,” creating an account, or making a purchase. Simply browsing the public pages does not by itself establish enforceable consent in every jurisdiction.
Eligibility
You may use Click Counterly only if you have the legal capacity to enter into these Terms where you live. Do not use the service if you lack that capacity.
If you use the service on behalf of a school, business, club, or other organization, you represent that you have authority to accept these Terms for that organization. The organization is then responsible for compliance by people who use the service through its access, devices, or instructions.
We have not set a universal minimum age in this draft. Confirm the age threshold, parental-consent process, and any regional requirements with legal counsel before launch.
The Service
Click Counterly is a Productivity and Utilities tool that lets you increase, decrease, and reset a running total in your browser. It is intended as a simple digital tally counter for headcounts, inventory checks, repetitions, classroom tallies, and similar repeated tasks.
The functionality available to you depends on the implemented tool and any applicable plan. Features described in marketing material may differ from the live tool, and only the features actually provided through the website form part of the service.
Unless expressly confirmed in the tool or on an approved feature page, we do not promise saved history, exports, cloud synchronization, offline access, or team features. Totals are entered manually by you, and the service does not automatically measure people, objects, or events.
Permitted Use
You may use Click Counterly for legitimate counting and tracking tasks, including attendance tallies, inventory counts, workout repetitions, classroom activities, and other everyday counting needs.
You are responsible for entering each count, checking the displayed total, and deciding how to interpret or record it. Record any total you cannot afford to lose before resetting, refreshing, closing the page, or switching devices.
Everyday examples do not guarantee suitability for every context. The tool is a general counting aid, not a certified system for regulated environments. Assess for yourself whether a manual browser tally is appropriate for your particular task.
Prohibited Conduct
You agree not to use the service for unlawful purposes, to harm others, or to interfere with the service. This includes violating applicable law, transmitting malicious code, attempting unauthorized access to accounts or systems, disrupting servers or networks, and infringing intellectual property or privacy rights.
You also agree not to attempt to bypass access controls, authentication, or verified plan limits, or to misuse the service in a way that degrades performance or security for other visitors.
- Do not probe, scan, or test the service for vulnerabilities except through a program we expressly authorize.
- Do not copy, scrape, or republish substantial parts of the service in a manner that infringes our rights or burdens the service.
- Do not misrepresent your identity or your authority to act for another person or organization.
Accounts
Conditional — include this section only if user accounts are offered. Remove or revise it if the service remains usable without accounts.
If accounts are offered, provide accurate registration details and keep them up to date. Protect your credentials, do not share passwords where individual accounts are required, and use the account recovery option available on the sign-in page if you lose access.
You are responsible for activity under your account, subject to applicable law. This section does not make you automatically liable for every unauthorized action, particularly where unauthorized use occurred without your fault and was reported promptly. Notify us without delay at support@clickcounterly.com if you suspect misuse.
Counts And User Data
You own the counting data you submit. We claim no ownership over your totals, labels, or notes. You grant us only the limited permission reasonably necessary to display your counts to you, operate the service, prevent abuse, and comply with law.
Storage behavior depends on the feature you use. Temporary on-screen counts may be lost on reset, refresh, or page close. Information stored locally in your browser may be cleared by browser settings, private browsing, or cache clearing. Records stored on our servers, if any, are subject to the applicable plan and retention policy.
Resets return the visible total to zero. Browser clearing may remove locally stored information. Account closure or deletion, where accounts exist, may remove associated server-stored records. We do not promise recovery, backups, or permanent storage unless expressly stated for your plan, so keep your own copy of important totals.
Plans And Limits
Conditional — applies only if plans, tiers, or usage limits are introduced. Only confirmed plans form part of this agreement.
Confirmed plans, capabilities, and limits will be described on the approved pricing page at /pricing/. Applicable limits may cover counters, stored records, seats, or workspaces, as defined on that page.
Proposed prices or limits in drafts, mockups, or marketing copy are not contractual commitments until approved and published. If limits change, we will communicate the change through the website, account notice, or email where appropriate, and explain when the change takes effect.
Payments And Renewals
Conditional — include only if paid subscriptions exist.
Approved plan prices are shown on the pricing page and are processed through the payment provider named at checkout. Currency, billing frequency, whether charges are collected upfront, applicable taxes, and payment authorization requirements will match the approved checkout terms.
Renewal terms, including whether a plan renews automatically, are stated at checkout. If a plan renews automatically, the checkout and renewal disclosures will state the renewal date, amount, and how to manage renewal before the next charge.
Failed payments are handled according to the process described at checkout and in account notices, including retries, notices, grace periods, and any service impact. Price changes will be notified in advance under the approved terms and applicable law, with an explanation of your options, including cancellation.
Cancellation And Refunds
Cancellation is handled through account settings, the checkout portal, or an email request, and the confirmation states when cancellation takes effect, such as immediately or at the end of the current billing period.
After cancellation, your access and stored data are treated as described in the retention schedule in our Privacy Policy. Export or record any totals you need before cancellation takes effect, because associated records may be removed under the published retention schedule.
Refunds are governed by the refund terms shown at checkout and by applicable consumer law. Upgrades, downgrades, billing-frequency changes, and prorating apply only where expressly offered. Nothing in this section waives refund or withdrawal rights granted by applicable consumer law.
Team Workspaces
Conditional — include only if collaboration or shared workspaces exist.
If team workspaces are offered, each workspace has an owner or administrator who manages member access, permissions, and shared data visibility. Members can view or edit shared counts according to the role assigned to them.
Seat limits, invitations, role changes, and the consequences when a member leaves are described in the workspace settings and any plan documentation. Workspace owners are responsible for managing who has access to shared information and for removing former members promptly.
Intellectual Property
The website, branding, interface, text, graphics, and original materials are owned by us or our licensors, subject to third-party rights. All rights not expressly granted are reserved.
We grant you a limited, non-exclusive, non-transferable permission to access and use the service for its intended counting purposes under these Terms. You retain ownership of your own counting data and other content you provide.
Nothing in these Terms transfers ownership of open-source or third-party components, fonts, icons, or libraries to you or to us. Those components remain subject to their respective licenses.
Feedback
If you send suggestions, ideas, or other feedback about Click Counterly, we may consider it for future improvements. You are not required to provide feedback, and you should not send confidential information as feedback.
Unless separately agreed in writing, submitting feedback does not create an obligation for us to implement it, compensate you, or reply. Any broader rights transfer beyond the limited use needed to evaluate feedback must be agreed expressly and is not included in this draft.
Third-Party Services
The service may contain links to external websites or work with third-party services actually used to operate it, such as hosting, analytics, or payment processing once confirmed. Those external services are provided by their respective operators.
When you use a third-party service, that provider’s terms and privacy practices apply. We do not claim endorsements, partnerships, or integrations beyond those actually implemented, and we are not responsible for third-party content or practices except as required by applicable law.
Privacy And Communications
Personal information is handled according to our Privacy Policy. Please review that policy to learn what we collect, how we use it, and the choices available to you.
We may send messages necessary to operate the service, such as security notices, policy updates, or transaction receipts where applicable. Optional newsletters or marketing messages are separate and require the consent or opt-out mechanism required by applicable law. Acceptance of these Terms is not by itself consent to marketing.
Where optional messages are offered, instructions for unsubscribing will be included in the message or account settings, consistent with the implemented email system.
Availability And Changes
We aim to keep Click Counterly accessible, but maintenance, updates, hosting issues, or factors beyond our control may cause interruptions. Features may be added, modified, or removed as the service develops.
Significant changes or discontinuation of material functionality will be communicated with appropriate notice where required, through the website, account notice, or email. We make no uptime guarantee or service-level commitment in this draft.
Counting Accuracy
Displayed totals depend on your actions, device behavior, browser settings, and the implemented storage method. An extra tap, a missed tap, a reset, or cleared browser data can change the total shown on screen.
Where accuracy matters, verify each total before relying on it, keep an independent record, and confirm that a manual tally is appropriate for the task. The tool is intended for general everyday counting and is not designed for regulated, medical, legal, financial, or safety-critical decisions.
Suspension And Termination
We may limit, suspend, or end access where reasonably necessary, including for material misuse, fraud, security threats, or conduct that harms the service or others. Where practical, we will provide notice and an opportunity to resolve the issue, unless immediate action is needed for security or legal reasons.
The consequences for access, subscriptions, and stored data depend on the verified policies for your plan and the reason for the action. Any refund or data-retention outcome will follow the published cancellation, refund, and retention terms and applicable law.
You may stop using the service at any time. Where accounts exist, you may request closure through the verified account process, subject to record-keeping obligations under applicable law.
Disclaimers
The service is provided on an “as is” and “as available” basis, subject to applicable law. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, without excluding statutory warranties or consumer guarantees that cannot legally be excluded.
We do not warrant that the service will always be uninterrupted, error-free, or suitable for every purpose. You remain responsible for checking totals and deciding whether the service meets your needs.
Liability
Any exclusions or limits on liability depend on applicable law. If a liability cap is approved, it will be stated in the applicable plan or checkout terms and applied only to the extent legally permitted. No monetary cap is included unless expressly stated.
Nothing in these Terms excludes or limits liability where exclusion is not permitted by law, including liability for fraud, willful misconduct, or consumer protections that cannot legally be waived. We do not require unlimited indemnity from users in this draft; any indemnity must be proportionate and confirmed during legal review.
Governing Law And Disputes
These Terms are governed by the laws applicable where the operator is established, and disputes may be brought before the competent courts or dispute-resolution bodies available under applicable law. Jurisdiction-specific choices are confirmed during legal review.
If you have a concern, contact us first at support@clickcounterly.com with a description of the issue so we can attempt to resolve it informally. This draft does not include arbitration, class-action waivers, or mandatory notice deadlines, and none should be added without an approved, jurisdiction-appropriate decision.
Mandatory consumer rights, including applicable access to courts and dispute-resolution bodies, are preserved and are not affected by these Terms.
Changes To These Terms
We may update these Terms to reflect changes to the service, applicable law, or business practices. Updates and material changes will be communicated by posting a revised version with a new “Last Updated” date and, where appropriate, providing notice through the website, account, or email.
Changes take effect as stated in the notice. Continued browsing alone is not assumed to constitute valid acceptance in every jurisdiction; the applicable acceptance mechanism for updated terms must be confirmed during legal review.
Version dates on this page are controlled manually and must be updated with each approved revision.
General Provisions
If any part of these Terms is found unenforceable, the remaining parts continue in effect, and the unenforceable part will be applied to the minimum extent necessary under applicable law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
You may not assign your rights under these Terms without our prior written consent, except as permitted by applicable law. We may assign our rights in connection with a merger, acquisition, or sale of relevant assets, subject to applicable notice requirements.
These Terms, together with the policies expressly incorporated here, form the agreement between you and us for use of the service, subject to other applicable agreements for specific plans or features.
